Franchising refers to a business arrangement where a franchisee pays an initial franchise fee and a percentage of sales in exchange for the support and expertise of a parent company, or franchisor. In this relationship, the franchisee operates the business using the franchisor’s trademark and proven business model, while the franchisor serves as a counselor and advisor. The Franchises Act governs the relationship between franchisors and franchisees, ensuring the protection of franchisees' rights to association. Under the Act, a franchisor cannot prohibit or restrict a franchisee from forming or joining an organization of franchisees, nor can it penalize, directly or indirectly, a franchisee for participating in such association activities. If a franchisor infringes upon these rights, the franchisee may seek damages against the franchisor. Additionally, the Act imposes a duty of fair dealing on both franchisors and franchisees.
